Force Majeure

Neither Party shall liable hereunder for any failure or delay in the performance of its obligations under this Agreement if such failure or delay is on account of causes beyond its control, including labor disputes, civil commotion, war, fires, floods, inclement weather, governmental regulations or controls, casualty, government authority, strikes, or acts of God, in which event the non-performing party shall be excused from its obligations for the period of the delay and for a commercially reasonable time thereafter.

Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous written or oral agreements between them or any of their affiliates, with respect to the subject matter contained herein. Overview

This Acceptable Use Policy specifies the actions prohibited by Phonoscope Inc. (“Phonoscope”) to users of the Phonoscope Internet Network. Phonoscope reserves the right to modify the Policy at any time, effective upon posting of the modified Policy to this URL: http://www.phonoscopefiber.com.

Domain Name Registration

Customer shall be responsible for all costs and fees associated with the registration of Customer’s domain name including, but not limited to, all costs and fees for moving such domain name. Phonoscope makes no representations concerning whether Customer’s domain name infringes upon any trademarks, trade names, service marks or other proprietary rights owned by any third party. Customer agrees to be bound by the terms of InterNIC’s current domain name policy (http://www.networksolutions.com/legal/agreement.html) for .com, .net or .org domains and/or the policies of the national DNS registration authorities for the countries of Cocos Islands (.CC) and Tonga (.TO) for such domains. Additional information about .CC and .TO domains may be found at http://www.nic.cc/policies.html and http://www.tonic.to/faq.htm. The inability to use a domain name shall not entitle Customer to a refund by Phonoscope of any fees paid with respect to the registration of such unusable domain name.

E-Commerce

Customer will be solely responsible for the development, operation and maintenance of Customer’s online store and products and all contents and materials appearing online including without limitation (a) the accuracy and appropriateness of content and materials; (b) the non-infringing status of such content and materials; and (c) the non-defamatory and/or lawful status of such content and materials. Customer will be solely responsible for calculating shipping and sales taxes, if any, and for accepting and processing any of Customer’s clients’ orders, as well as client inquiries or complaints. Customer will keep all credit information of its clients confidential.

Hosting – Caching

Customer expressly (i) grants to Phonoscope a license to cache the entirety of Customer’s web Site, including content supplied by third parties and (ii) agrees that such caching is not an infringement of any intellectual property rights.

Hosting – CPU Usage

If in Phonoscope’s sole discretion Customer uses excessive amounts of CPU processing on any of Phonoscope’s servers, Phonoscope shall be entitled to take corrective action, including assessing additional charges, or disconnecting or discontinuing Services. Customer shall not be entitled to a refund of any fees paid in advance of such corrective action.

Illegal Use

The Phonoscope Internet Network may be used only for lawful purposes. Transmission, distribution or storage of any material in violation of any applicable law or regulation is prohibited. This includes, without limitation, material protected by copyright, trademark, trade secret or other intellectual property right used without proper authorization, and material that is obscene, defamatory, constitutes an illegal threat, or violates export control laws.

Prohibited Uses of Phonoscope Network. Customer shall not intentionally use the Phonoscope Network or the Equipment, directly or indirectly:

• to conduct any transmissions constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate any municipal, provincial, state, federal or international law, order or regulation;
• to alter, modify or tamper with the Equipment of the Phonoscope Network
• to restrict, inhibit or otherwise interfere with the ability of any other customer to use the Phonoscope Network or the services therein available, including, without limitation, posting or transmitting any information or software which contains a virus, lock, key, bomb, worm, Trojan horse or other harmful or debilitating feature; or generating levels of traffic sufficient to impede others ability to send or retrieve information.
• to disrupt Phonoscope backbone network nodes or network services;
• to resell the Phonoscope Services other than to Customer’s end users specifically identified in the Service Order. Services provided by Phonoscope for Customer’s and Customer’s end users use only and Customer agrees not to use the Services for any other business enterprise in competition with the Phonoscope. Phonoscope Services are available to Customer for unlimited use at each contracted facility. Customer is solely responsible for all use of Customer’s access, whether by Customer or any other person.

Virus Protection

Phonoscope recommends that Customer choose, install and keep operational and up-to-date appropriate virus protection software. However, Customer is informed that all the precautions described in this Addendum may not be sufficient to protect Customer’s computer, software and files from unauthorized access or computer viruses. PHONOSCOPE IS NOT LIABLE TO CUSTOMER FOR DAMAGE TO CUSTOMER’S COMPUTER, PERIPHERALS, SOFTWARE, DATA, FILES, OR EQUIPMENT CAUSED BY A VIRUS AND ARISING OUT OF OR RELATED TO THE USE OF PHONOSCOPE SERVICES BY CUSTOMER.

System And Network Security

Violations of system or network security are prohibited, and may result in criminal and civil liability. Phonoscope will investigate incidents involving such violations and may involve and will cooperate with law enforcement if a criminal violation is suspected. Examples of system or network security violations include, without limitation, the following:

• Unauthorized access to or use of data, systems or networks, including any attempt to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without express authorization of the owner of the system or network.
• Unauthorized monitoring of data or traffic on any network or system without express authorization of the owner of the system or network.
• Interference with service to any user, host or network including, without limitation, mailbombing, flooding, deliberate attempts to overload a system and broadcast attacks.
• Forging of any TCP-IP packet header or any part of the header information in an email or a newsgroup posting.

Email

Sending unsolicited mail messages, including without limitation, commercial advertising and informational announcements, is explicitly prohibited. A user shall not use another site’s mail server to relay mail without the express permission of the site.

Usenet

Posting the same or similar message to one or more newsgroups (excessive cross-posting or multiple-posting, also know as “SPAM”) is explicitly prohibited.

INDIRECT OR ATTEMPTED VIOLATIONS OF THE POLICY, AND ACTUAL OR ATTEMPTED VIOLATIONS BY A THIRD PARTY ON BEHALF OF A PHONOSCOPE CUSTOMER OR A CUSTOMER’S END USER, SHALL BE CONSIDERED VIOLATIONS OF THE POLICY BY SUCH CUSTOMER OR END USER.
